Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and BioVeda Agro Ventures Private Limited (“BioVeda”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013, having its registered office in Kolkata, West Bengal, India.

By registering an account, accessing, browsing, or using our website located at www.biovedaagroventures.com, our mobile application, or any associated services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after any such modifications constitutes your acceptance of the updated Terms.

2. Description of Services

BioVeda provides an integrated agritech platform for Indian farmers and agri-businesses. Our services include:

• Agri-Input Marketplace: An online marketplace enabling users to purchase certified seeds, fertilizers, pesticides, farming tools, irrigation equipment, and other agricultural inputs from verified sellers and brands.
• Sell Produce / Mandi Rates: A platform enabling farmers to sell their agricultural produce directly to BioVeda collection centres and buyers, with access to live and historical mandi (wholesale market) rate data sourced from major agricultural markets across India.
• Financial Inclusion Services: Facilitation of access to credit products including Kisan Credit Cards, crop loans, and agricultural insurance schemes through our banking and NBFC partner network. BioVeda acts as a distribution facilitator and is not itself a lending institution.
• BV Quick Store: A rural quick-commerce service enabling delivery of groceries, household essentials, personal care products, and other daily-use items to rural and semi-urban locations.

BioVeda reserves the right to add, modify, suspend, or discontinue any service at any time, with or without notice, and without liability to users.

3. User Eligibility

To use the BioVeda Platform, you must:

• Be at least 18 years of age. By using the Platform, you represent and warrant that you are 18 years old or older.
• Be a resident of India.
• Be a farmer, agri-business operator, input dealer, agricultural service provider, or rural household seeking groceries through BV Quick Store.
• Have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.
• Not be barred from using the Platform under applicable laws or regulations.

BioVeda reserves the right to verify user eligibility and to suspend or terminate accounts that do not meet these criteria.

4. Account Registration and Security

You may be required to register an account to access certain features of the Platform. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your login credentials (OTP, PIN, or password) confidential and not share them with any third party.
• Notify us immediately at support@biovedaagroventures.com if you suspect any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account, whether or not authorised by you.

5. User Obligations

When using the Platform, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms.
• Provide accurate information when listing produce for sale, including correct weight, quality grade, and variety.
• Complete transactions in good faith once an offer or order has been accepted.
• Comply with all applicable laws, including the Farmers' Produce Trade and Commerce (Promotion and Facilitation) Act, 2020, the Essential Commodities Act, 1955, and the Pesticides Management Act.
• Cooperate with BioVeda's quality verification processes at collection centres.

6. Prohibited Activities

You must not, directly or through a third party:

• Upload, list, or sell counterfeit, adulterated, prohibited, or unauthorised agri-input products.
• Misrepresent the quality, quantity, or variety of agricultural produce.
• Use the Platform to engage in money laundering, terrorist financing, or any other financial crime.
• Attempt to hack, reverse engineer, decompile, or circumvent any security feature of the Platform.
• Use automated bots, scrapers, or crawlers to extract data from the Platform without prior written consent.
• Post or transmit any content that is defamatory, obscene, threatening, or violates the rights of any third party.
• Create multiple accounts for fraudulent purposes or to circumvent a suspension or termination.
• Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.

Violation of these prohibitions may result in immediate account suspension, termination, and, where appropriate, referral to law enforcement authorities.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of BioVeda Agro Ventures Private Limited or its content suppliers and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial purposes. This licence does not include the right to: (a) sublicense, sell, or commercially exploit any part of the Platform; (b) reproduce, duplicate, or copy Platform content for commercial purposes; or (c) use data mining or similar data gathering tools.

8. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BioVeda does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) mandi rate data will be accurate, complete, or current at all times; (c) any products purchased through the Platform will meet your expectations; or (d) any defects will be corrected. Mandi rate information is provided for general guidance only and should not be relied upon as the sole basis for commercial decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOVEDA AND ITS DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF BIOVEDA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIOVEDA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIOVEDA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) INR 10,000 (TEN THOUSAND RUPEES).

10. Indemnification

You agree to indemnify, defend, and hold harmless BioVeda, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, including its validity, interpretation, or termination, shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue in such courts.

12. Termination

BioVeda may, at its sole discretion, suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that, by their nature, should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitation of liability.

14. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and BioVeda regarding the Platform.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver:BioVeda's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment:You may not assign or transfer your rights or obligations under these Terms without BioVeda's prior written consent. BioVeda may freely assign these Terms.
